1. Agreement Scope
These Terms govern the use of Velora Rivelle websites, tools, and digital build services. By using this website, submitting a project brief, purchasing a service, or subscribing to an in-house tool, you agree to these Terms.
Where a signed Statement of Work (SOW) exists, the SOW and associated service documents define project-specific scope, timelines, and fees.
2. Services and Delivery Model
Velora Rivelle operates as a platform-neutral execution studio delivering practical implementation services for websites and web applications.
Services include website builds, redesigns, structural updates, content implementation, interface delivery, workflow tooling, and agreed feature development.
Velora Rivelle does not provide business consultancy, legal advice, hosting recommendations, SEO guarantees, or marketing strategy unless expressly agreed in writing.
3. Client Responsibilities
Clients are responsible for maintaining active platform accounts, hosting subscriptions, domain registrations, and third-party service access needed for project execution.
Clients must provide accurate instructions, required content/assets, and timely approvals. Delays in approvals, access, or input may affect delivery dates.
4. Third-Party Platforms
Velora Rivelle may implement work within third-party ecosystems including Shopify, Wix, Squarespace, WordPress, and related providers.
These providers operate independently and may change features, limits, pricing, terms, and availability at their discretion. Velora Rivelle is not liable for provider-side outages or policy changes.
5. Quotes, Pricing, and Payments
Fees are confirmed by approved quotation and/or SOW before work starts. Deposits may be required to reserve delivery capacity.
Unless otherwise agreed in writing, invoices are payable under stated invoice terms. Velora Rivelle may pause delivery where payments are overdue.
Deposits are non-refundable once delivery work has commenced.
6. Changes, Revisions, and Out-of-Scope Work
Only the scope documented in the approved SOW/quote is included. Additional features, pages, integrations, or structural changes are treated as scope change requests.
Out-of-scope requests may require revised pricing, timeline adjustments, and written approval before implementation.
7. Acceptance and Handover
Deliverables are deemed accepted if no written scope-related issues are raised within five (5) business days of delivery.
After acceptance and full payment, completed deliverables transfer to the client, except for Velora Rivelle proprietary methods, templates, and in-house tools.
8. In-House Tool Access
Subscription tools and utilities are provided under access terms determined by Velora Rivelle and may be updated, modified, or discontinued.
Tool access may be suspended for non-payment, misuse, or breach of these Terms.
9. Intellectual Property and Portfolio Rights
Clients warrant that supplied content, assets, and materials are owned or licensed for use.
Velora Rivelle may reference completed project work in portfolio/case-study materials unless expressly restricted by written agreement.
10. Confidentiality
Both parties agree to protect confidential information shared during project execution, including credentials, platform data, commercial details, and technical documentation.
11. Warranties and Liability
Services are delivered with reasonable skill and care. Except as required by law, all implied warranties are excluded to the fullest extent permitted.
Velora Rivelle is not liable for indirect or consequential loss, including loss of profit, revenue, or business interruption caused by third-party infrastructure or client-side account management.
12. Termination
Either party may terminate service engagement in writing. Work performed up to termination remains billable, including committed production time and approved milestones.
13. Governing Law
These Terms are governed by the laws of England and Wales. Parties agree to seek good-faith negotiation before formal legal proceedings.
